STANDARD TERMS AND CONDITIONS FOR JOB BOARD ADVERTISING WITH THE COMMISSION ON DENTAL TESTING IN OHIO ("CODT")

These Standard Terms and Conditions for Job Board Advertising with CODT are intended to offer Advertisers (typically dentists and dental practices) a standard for conducting business in a manner acceptable to both parties and is the basis for such contract, which is agreed and executed upon submission of the CODT Job Board payment form and completion of payment.

DEFINITIONS.

"Ad" means any advertisement for a job position on the CODT job board section of its website (located at www.codtinohio.org) provided by CODT on behalf of Advertiser.
"Advertiser" means the advertiser, typically a dentist or dental practice, for which CODT is advertising.
"Affiliate" means, as to entity, any other entity directly or indirectly controlling, controlled by, or under common control with, such entity.
"CODT" means The Commission on Dental Testing in Ohio.
"Order" means successful payment for an Ad by way of the CODT website payment form and the subsequent execution for ad display placement thereof.
"Terms" means these Standard Terms and Conditions for Internet Advertising for CODT.
"Website" means the CODT website located at www.codtinohio.org.

TERMS.

1. JOB PLACEMENT ADVERTISEMENTS

a. Acceptance. From time to time, Advertiser may execute Orders for Ads that will be accepted, or rejected and promptly refunded, at CODT's sole discretion.
b. Availability. If there is no inventory available, CODT will notify Advertiser and promptly refund the Order.
c. In case of either (1a) or (1b), CODT will make commercially reasonable efforts to notify Advertiser within two (2) business days of receipt of an order and initiate refund.
d. Positioning. Job Ad placements will be placed conspicuously for the duration of the term selected after the time of purchase and payment at a minimum in the (1) EFDA registration and (2) EFDA certification results areas of the CODT Website. The ad may be displayed alongside other Advertiser Ads, generally without guarantee of position or priority, but with reasonably balanced delivery.

2. LIMITATION OF LIABILITY & REPRESENTATIONS

a. CODT cannot guarantee that an Ad will result in a hire.
b. CODT cannot guarantee or warrant the quality, eligibility, fitness, or any other qualities of any candidate that respond to the advertisement.
c. CODT is expressly not responsible for any activities or performance that occurs outside of its job board on its website.
d. ADVERTISER represents that it has authority and permission to advertise on its behalf or behalf of the dental practice.
e. ADVERTISER represents that the advertisement is a legitimate opportunity and any information provided is truthful and accurate.
f. ADVERTISER agrees to indemnify and hold harmless The Commission on Dental Testing and any of its related affiliates or service partners.

3. CANCELLATION

a. Advertiser may cancel the display of its advertisement at any time by notifying us on the website contact form, but payments are final and non-refundable. CODT will make commercially reasonable efforts to remove the advertisement within two (2) business days of valid notice.

4. MAKEGOODS

a. CODT will make commercially reasonable efforts to address any deficiency in service whereby an advertisement would fail to display for the purchased term ("Under-delivery"). Should actual Deliverables for any campaign fall below guaranteed levels, and/or if there is an omission of any Ad placement, CODT and Advertiser will use commercially reasonable efforts to agree upon the conditions of a makegood arrangement. If no makegood can be agreed upon, CODT will execute a credit equal to the value of the under-delivered portion of the ad placement which it was charged in pro-rata proportion to any such downtime exceeding one (1) business day.

These Terms are subject to change; CODT may do so by publishing the new Terms to this document, without notice, at which time of publication they shall become effective.
